
HOBOKEN, NJ. — Snackruptors, a Cambridge, Ont.-based snacks maker, is acquiring the Hain Celestial Group’s North American snacks business for $115 million. The transaction includes such brands as Garden Veggie snacks, Terra chips and Garden of Eatin’ snacks.
“We’re thrilled to be acquiring this established portfolio of delicious snacks that consumers already know and love,” said Rick Taborda, president of Snackruptors. “We believe these brands have significant growth potential and represent a strong, complementary fit with our existing business.”
Hain Celestial Group’s North America snacks business represented 22% of the company’s $1.56 billion in net sales in fiscal 2025 — and 38% of the North America segment net sales of $888.6 million during the period — but delivered “negligible” EBITDA contribution over the past 12 months, Hain Celestial said. With the sale of the snacks business, Hain Celestial said it expects its financial profile for the remaining portfolio in North America to be “meaningfully stronger,” delivering EBITDA margins in the low double digits, underpinned by gross margins above 30%.
Once the transaction is finalized, Hain Celestial will maintain a presence in the tea, yogurt, baby/kids and meal preparation categories through several brands, including Celestial Seasonings, The Greek Gods, Earth’s Best Organic and Spectrum Organic.
Announcement of the deal comes nine months after Hain Celestial initiated a strategic review of its business. At that time, the company hired Goldman Sachs & Co. to assist with the review and said it would consider a “broad range of strategic options to enhance value.” Also at that time, the company announced a leadership transition, with then-chief executive officer Wendy Davidson departing the company and Alison E. Lewis stepping in as interim president and CEO. Lewis was officially named CEO in mid-December.
In November, Hain Celestial initiated a plan to reduce 30% of its stock-keeping units in North America.
“As an output of the previously announced strategic review process of our company’s portfolio, the sale of our snacks business is a decisive first step we are taking to sharpen our focus on categories and platforms in key markets where we can leverage our strongest organizational capabilities,” Lewis said. “Proceeds from the transaction will be used to reduce debt, strengthening the company’s financial position and leverage profile. The resulting financial flexibility will enable increased investment over time, helping to drive sustainable, profitable growth and create long-term shareholder value.”
Garden Veggie, Garden of Eatin’ and Terra have been part of Hain Celestial’s portfolio for many years. Hain Celestial acquired Garden of Eatin’ and Terra in 1998, while Garden Veggie was acquired in 2010.
Snackruptors previously was known as RDJ Bakeries before rebranding in early 2025. The company primarily makes crackers for the private label industry.
The transaction is expected to close by Feb. 28. FBN
